This Billing and Usage Agreement (this "Billing Agreement") governs how you pay for billable scans through the Veritas connector for the Model Context Protocol. It is a separate agreement from, and is in addition to, the MCP Connector Terms of Service and the Veritas Terms of Service. You accept this Billing Agreement by a dedicated, separate affirmative action at the payment step, distinct from your acceptance of the other agreements. The merchant and the party that will charge your card is Banah Enterprises, LLC, doing business as Veritas ("Veritas," "we," "us," or "our").
You are not asked for any billing information until after the material terms below are presented to you. Read them. By providing a payment method and completing the separate acceptance step, you authorize the recurring, usage-based charges described here.
1. Plain-language summary of what you are authorizing
Read this summary before you provide any payment information. The detailed terms follow.
Price: $15 per filing scan.
Free first: Your first three (3) regular scans are free and require no card.
How it is metered: You are charged per filing scanned. One filing scan is one verify call over one document or citation set, regardless of how many citations it contains.
When you are billed: Your billable scans are accumulated and billed once per day (each day closes at 00:00 UTC). You are not charged scan-by-scan in real time; each scan appears as a line item on the daily invoice.
Recurring and continuing: This authorization is ongoing. It continues for each day in which you run billable scans, until you cancel.
Variable and uncapped: The daily amount depends on how many filings you scan that day. There is no cap. A high-volume day produces a high charge. If you run twenty billable scans in a day, that day is $300; there is no ceiling above which scanning stops being charged.
Automatic: Once your card is on file, billable scans are charged to it automatically, without a further approval step for each charge.
Cancel anytime: You can cancel online at any time, through the same kind of self-service flow you used to sign up. Cancellation is as easy as signup. After you cancel, no further billable scans run, and you are billed only for the billable scans you already ran.
The sections below state these terms in full. They control over the summary if there is any difference, except that nothing in the detailed terms authorizes a charge the summary does not disclose.
2. Separate, affirmative consent
This Billing Agreement is presented to you on its own, and you accept it by a dedicated action that is not bundled with acceptance of any other agreement and is not pre-selected for you. Accepting the Veritas Terms of Service or the MCP Connector Terms does not, by itself, authorize any charge. Only your separate acceptance of this Billing Agreement, together with a payment method on file, authorizes a charge. We record the version you accepted, the terms displayed to you, the date and time, and the account that accepted, and we retain that record.
3. The price and how charges are calculated
The price for one billable scan is $15.00 (fifteen U.S. dollars) per filing scan. A “filing scan” is one Scan, as defined in the MCP Connector Terms: one verify call over one document or one set of citations, regardless of the number of citations, bounded by the per-document citation limit. Every billable scan is a deep scan: it includes proposition validation — whether the cited authority supports the point it is cited for — at no additional charge. Your daily charge equals the number of billable scans you ran in the billing day multiplied by $15.00.
The following are not billable scans and are not charged: your three Free Scans; an identical re-scan of the same content within the de-duplication window, which returns the prior Certificate and is not charged again; a scan run by an active seat subscriber under that subscription; and a submission that is rejected, including one that exceeds the per-document citation limit or is screened out by the input gate, because no verification was produced.
4. The free tier comes first
Your first three (3) regular scans are free and require no payment method. The charges in this Billing Agreement begin only after the three Free Scans are used and only for billable scans. Free Scans run the regular checks; deep scan is payment-gated. We do not ask for a card, and you are not charged, to run the Free Scans.
5. Metered per filing, billed daily
Each billable scan is metered when it runs and is recorded against your account. We accumulate your billable scans over a daily billing cycle that closes at 00:00 UTC and bill the accumulated total once at the close of each day. Each billable scan appears as a separate line item on that daily invoice, so the bill itemizes the filings you scanned. This is usage-based, aggregated daily billing, not a fixed monthly subscription and not a separate charge at the instant of each scan.
6. Recurring, continuing authorization
Your authorization is a standing, recurring authorization. It is not a one-time payment. It continues for each billing cycle in which you run billable scans and remains in effect until you cancel under Section 9 or your authorization is otherwise revoked or terminated. Because charges recur, you should expect a charge on any day on which you run billable scans, for as long as this authorization is in effect.
7. Variable and uncapped: read this
The amount you are charged each day is variable and has no cap. It rises and falls with how many filings you scan. We do not limit the daily total, and we do not stop charging once your usage passes any threshold. High-volume use can produce a large charge. If running per-scan begins to cost more than a Veritas seat subscription would, we will show you a notice suggesting you consider a seat, but that notice does not cap your charges and does not move you to a subscription; per-scan billing continues unless you act. To help you track this, the Connector provides an account-status read that reports your free scans remaining and your month-to-date billable usage at any time, at no charge, and we provide a receipt or confirmation for each daily charge. You are responsible for monitoring your own usage.
8. Your card on file, and how it is charged
To run a billable scan, you place a payment card on file. You authorize us to store that card as a credential and to charge it automatically, on an unattended basis, for the daily billable-scan total described above, for as long as this authorization is in effect. Your card is stored with our payment processor; Veritas does not store your full card number. We charge the card you have on file at the close of each billing cycle in which you ran billable scans. This is a merchant-initiated, stored-credential authorization for recurring usage-based charges, and your card network's rules for stored credentials apply.
9. How to cancel, and what cancellation does
You may cancel this authorization at any time, online, through a self-service cancellation that is at least as easy as the signup you completed to authorize it. You do not have to call, email, or wait. To cancel, open your Veritas account, select Billing, then choose “Cancel pay-as-you-go billing.”
When you cancel: no further billable scans will run; any billable scans you already ran but that have not yet been billed will be included in a final charge for the cycle in which you ran them; and the amounts already charged for billable scans you already ran are not refunded, because they correspond to scans actually performed. Cancellation stops future billable scans and future charges. It does not erase charges for scans you already ran. You may also remove your payment method, which has the same forward effect: no further billable scans run.
10. If a charge does not go through
If a charge to your card on file does not succeed, the verdict and Certificate for the scan you just ran are still delivered to you. We do not withhold a verification result because of a payment problem. We will mark the charge as failed, attempt to collect it again, and notify you to update your payment method. Your next billable scan is paused until your payment method is fixed; until then, the verify tool returns a clear prompt to update your payment method rather than running a further billable scan. Your Free-tier and already-delivered results are never the thing withheld; the next paid scan is. Once your payment method is updated and the outstanding amount is resolved, billable scans resume.
11. Stored-credential terms
When you place a card on file, you establish a stored-credential arrangement with us: you agree that we may retain a reference to your card with our processor and use it for the recurring, usage-based charges described in this Billing Agreement; we will charge it only as described here; we will give you notice of a change to these billing terms and obtain your re-acceptance for a material change, including a price change, under Section 14; and the credential is used until you cancel, until it expires, or until you replace it.
12. California auto-renewal acknowledgment
Because this is a recurring, automatically-charged authorization, we present these auto-renewing-charge terms to you clearly and conspicuously before you provide billing information, we obtain your affirmative consent to them separately, we provide you an acknowledgment you can retain that states these terms, the cancellation policy, and how to cancel, and we provide cancellation online and at will. These protections are provided to all Connector users as our standard, consistent with the California Automatic Renewal Law as a high-water mark.
13. A durable record and your confirmation
We keep a durable, time-stamped record of the billing terms shown to you, the version you accepted, when you accepted, and which account accepted, and we provide you a copy or confirmation of this authorization at acceptance and a receipt for each daily charge. We retain the consent record for at least the period required by applicable law and for no less than four (4) years, and we do not purge the record of a version while you remain bound by it.
14. Changes to billing terms require your re-acceptance
A change to the price, to the billing cycle, to how charges are calculated, or to any other material billing term is a material change. We will not apply a material change to you until we have presented the updated billing terms and obtained your fresh affirmative acceptance of them through a renewed acceptance step. A price change does not take effect for you on continued use alone; it requires your re-acceptance of this Billing Agreement at the new price. If you do not accept a material change, your existing authorization at the current terms continues until you cancel, and we will not run billable scans at the changed terms without your acceptance. Non-material changes may be posted with a new effective date.
15. Relationship to the other agreements
This Billing Agreement is part of, and is read together with, the MCP Connector Terms of Service and the Veritas Terms of Service, and our handling of your information is described in the Veritas Privacy Policy at veritaslaw.app/privacy. The disclaimers, the limitation of liability, the governing-law and venue terms, and the professional-responsibility acknowledgments in those agreements apply to your use of the Connector and are not modified by this Billing Agreement. The merchant of record for charges under this Billing Agreement is Banah Enterprises, LLC, doing business as Veritas, and your card statement will show the descriptor veritaslaw.app.
